The terms and conditions of access, purchase and use of the Germinate Collective (trading as WillCoach Pty Ltd) Products and Services, tools and platforms

1. Introduction

These Terms & Conditions (“Terms”) govern the use of the Germinate Collective ecosystem, Thinkific online learning (willcoach-learning.thinkific.com), digital products, coaching services, communities, and all related online spaces operated by WillCoach Pty Ltd, trading as Germinate Collective (“we”, “us”, “our”).

By accessing or purchasing any course, product, service, coaching package, program, membership, community, or tool, you agree to be bound by these Terms.
Please read them carefully. If you do not agree, you may not use our services.

2. Legal and Trading Structure

WillCoach Pty Ltd is the registered legal entity.
Germinate Collective is a trading name of WillCoach Pty Ltd.

The Germinate Ecosystem refers to the online environment through which we aggregate access to:

  • digital products

  • courses and learning journeys

  • tools and downloads

  • communities and group spaces

  • coaching support resources

  • journey engagement and interaction

Purchases made through Thinkific or other linked platforms provide access to relevant parts of the Germinate Ecosystem.

Payments for all services are processed by:
PayGate (Pty) Ltd / Network International (PCI-DSS Level 1 compliant).

3. Definitions

  • “Client / Customer / Buyer” — any person purchasing a product, service, or program.

  • “User” — any person accessing the ecosystem, free or paid.

  • "The Ecosystem" — the online digital environment where content and communities are hosted.

  • “Content” — all videos, audios, PDFs, tools, downloads, lessons, worksheets, coaching resources, or materials provided by us.

  • “Services” — coaching journeys or individual sessions, facilitation, programs, digital courses, events & retreats, membership spaces, or consulting.

  • “Products” — digital downloads, toolkits, templates, resources, and online courses.

  • “Platform” — Thinkific, HubSpot, Airtable, Make, Zoom, Webflow, Memberstack, Mural, Calendly, or any other tool used to deliver services.

4. Description of Goods and Services

We offer:

  • Online courses and learning pathways

  • Digital toolkits, downloads, resources, and templates

  • Individual coaching

  • Group coaching programs

  • Development programs

  • Team Coaching

  • Communities and membership spaces

  • Workshops, talks, masterclasses

  • Facilitation

  • Enterprise and organisational coaching solutions

Unless stated otherwise, digital products are delivered instantly upon successful payment.

5. Delivery Policy

Digital Products & Downloads
Delivered automatically via Thinkific upon successful payment.

Courses & Programs
Access is granted immediately unless otherwise stated.
Access duration is clearly stated on each product page.

Coaching Services
Delivered via scheduled Calendly session which includes links to Zoom, or other video platforms if specifically agreed contractually.

Communities & Membership Spaces
Access is granted inside the Germinate Ecosystem or via Thinkific app integrations.

6. Refunds & Returns Policy

We honour South African e-commerce law and protect the integrity of your digital products and intellectual property.

6.1 Digital Products (non-refundable)

Due to the nature of digital downloads, no refunds are offered once access has been granted or files have been downloaded.

6.2 Online Courses (conditional refunds)

Refunds are granted only if ALL conditions are met:

  • Less than 10% of the course has been accessed

  • No downloadable assets have been accessed

  • Request is made within 7 days of purchase

Once meaningful access or downloads occur, refunds cannot be issued.

6.3 Individual & Leadership Coaching Journeys 

Refunds are provided for unused sessions only.
Completed sessions are charged at the standard session rate. This excludes coaching offered in Development Programs.

6.3.1 Individual Development Programs

Development journeys offered and purchased on an individual basis, may contain individual coaching sessions as part of the program, or as an optional addition to the program. These coaching sessions cannot be refunded once purchased as part of the journey or as an optional extra and are non-transferrable. 

6.4 Group based Development Programs, Cohorts, Workshops

Non-refundable once the program has begun.
Transfers may be offered at our discretion.

6.5 Merchandise / Physical Goods

(Currently not applicable.)

7. Payment Options and Currency

We accept:

  • Visa

  • Mastercard

  • EFT (where arranged manually)

  • PayGate-supported methods

All transactions are processed in South African Rands (ZAR).
The outlet country for all transactions is South Africa.

8. Security Policy

All credit card transactions are processed by PayGate (Pty) Ltd, a PCI-DSS Level 1 certified payment gateway.

  • No card details are stored by us.

  • All transactions are encrypted and secure.

  • Customer data is stored separately from payment data.

9. Customer Privacy and Data Use

Our Privacy Policy (linked in the footer) explains how data is collected, stored, protected, and used.

We use the following platforms:

  • Thinkific — course access & learner progress

  • HubSpot — communication, CRM & email updates

  • Make.com — automation (no credit card data processed)

  • Airtable — operational data (encrypted)

  • Calendly — bookings

  • Zoom / Google Meet — coaching sessions

  • Germinate Ecosystem — community and product access hosted via Webflow and membership access managed by Memberstack. 

Confidentiality and AI Tools

We do not use AI transcription or AI analytics in coaching sessions unless explicitly consented to.
Zoom AI features are disabled by default.
Clients may request non-AI alternatives.

You may request deletion of all data at any time, unless retention is required by law.

10. Export Restrictions

Our digital products are available globally except where local regulations prohibit access.
We reserve the right to restrict access to certain countries if required by law or payment processing limitations.

11. Intellectual Property

All content is owned by WillCoach Pty Ltd / Germinate Collective.
You may not:

  • share, reproduce, distribute, or resell content

  • upload it to public or internal company servers

  • use it for commercial or training purposes

You may use the tools and reflections for your personal growth or leadership development only, unless otherwise licensed.

12. Community Behaviour & Use of the Ecosystem

Inside our learning spaces, communities, or ecosystem, users agree to:

  • maintain confidentiality

  • respect the privacy of others

  • avoid harassment or harmful behaviour

  • not copy, export, or redistribute content or discussions

We reserve the right to remove access for behaviour that disrupts the learning environment.

13. Limitation of Liability

We provide services on a best-effort basis.
We are not liable for:

  • indirect or consequential damages

  • loss of revenue

  • platform interruptions

  • third-party service failures

Total liability is limited to the amount paid for the product or service concerned.

14. Variation of Terms

We may update these Terms at any time.
Continued use of our ecosystem constitutes acceptance of updated Terms.

15. Governing Law

These Terms are governed by South African law.
Any disputes will be handled under South African jurisdiction.
